Terms of Service

1. Acceptance of Terms

By accessing and using Vendium ("Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Vendor Account Registration

To use Vendium as a vendor, you must register an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password.

Your account includes:

  • Store subdomain (e.g., yourstore.vendium.shop)
  • Vendor email and secure password authentication via JWT tokens
  • Store customization (colors, logo, banner, templates)
  • Product catalog management
  • Order and transaction management

3. Multi-Tenant Architecture

Vendium operates as a multi-tenant SaaS platform where each vendor receives an isolated store instance accessible via their custom subdomain. Your store data is kept separate from other vendors and is not shared without your explicit consent.

You acknowledge that:

  • Your store subdomain is your unique identifier and property
  • Platform provides DNS wildcard routing (*.vendium.shop) for subdomain management
  • Store customization is limited to provided templates (Modern, Minimal, Classic)
  • You cannot access or modify other vendors' stores or data

4. Payment Processing

Vendium uses Paystack as our payment processor for all transactions. By accepting payments through the platform, you agree to:

  • All payments are processed through Paystack's secure infrastructure
  • Paystack fees and Vendium service fees (if applicable) will be deducted from your payouts
  • Settlement occurs as per Paystack's settlement schedule (typically within 24 hours)
  • You are responsible for providing valid bank account details for settlements
  • All payment data is encrypted and compliant with PCI-DSS standards

5. WhatsApp Integration

You can optionally provide a WhatsApp number during onboarding for customer notifications and support. By providing this number, you consent to:

  • Sending order notifications and updates via WhatsApp
  • Using WhatsApp for customer support and inquiries
  • Storing your WhatsApp number securely in our database
  • Compliance with WhatsApp's Terms of Service for business communications

6. Content Responsibility

You are solely responsible for all content you upload to your store, including:

  • Product descriptions, images, and pricing
  • Store name, description, and branding
  • Customer data collected through your store
  • All communications sent to customers

You warrant that you own or have the necessary rights to all content displayed on your store. You agree not to upload content that is illegal, defamatory, infringing, or violates third-party rights.

7. Prohibited Activities

As a vendor, you agree NOT to:

  • Sell counterfeit, stolen, or illegal goods
  • Engage in fraudulent transactions or payment manipulation
  • Harass, threaten, or abuse customers
  • Attempt to access other vendors' stores or data
  • Use the platform for money laundering or fraudulent purposes
  • Share your login credentials with unauthorized persons
  • Spam customers with unsolicited communications
  • Attempt to circumvent platform security measures

8. Liability & Disclaimers

Vendium acts as an intermediary platform and is NOT liable for:

  • Quality, legality, or authenticity of products sold by vendors
  • Customer disputes or chargebacks initiated by buyers
  • Delivery issues or shipping delays
  • Non-payment or fraudulent customers
  • Data loss or service interruptions (except gross negligence)
  • Third-party payment processor (Paystack) issues

The platform is provided "AS-IS" without warranties of any kind. We do not guarantee uninterrupted service or error-free operation.

9. Account Termination

Vendium reserves the right to suspend or terminate your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent or illegal activities
  • Fail to maintain accurate account information
  • Receive multiple customer complaints or chargebacks
  • Do not comply with platform policies

Upon termination, you lose access to your store, but may request data export for your products and orders.

10. Changes to Terms

We may modify these Terms at any time. Your continued use of the platform after changes constitutes acceptance of the new terms. We recommend reviewing these terms periodically.
